Terms of Service

1. Service Description
TQDM Inc. ("Company", "we", "us"), located at 1111B S Governors Ave, STE 23256, Dover, DE 19904, USA, operates the reauth.dev platform ("Service"). The Service provides authentication, billing, and transactional email infrastructure for web applications. By creating an account or using our Service, you agree to these Terms of Service ("Terms").
The Service includes: magic link authentication, OAuth integration (Google, X/Twitter), Stripe-powered billing and subscription management, transactional email delivery, custom domain support, and related APIs and SDKs.
2. Account Terms
You must provide a valid email address to create an account.
You are responsible for maintaining the security of your account credentials, API keys, and any activity that occurs under your account. You must notify us immediately of any unauthorized access.
You must be at least 18 years old or the age of majority in your jurisdiction to use this Service.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Send spam, phishing, or unsolicited communications
- Distribute malware or engage in malicious activities
- Attempt to gain unauthorized access to other systems or accounts
- Circumvent usage limits or abuse free tier allocations
- Use the Service to process or store prohibited content
- Interfere with or disrupt the Service or its infrastructure
4. API Usage
Access to the reauth.dev API is governed by your subscription plan. API keys are confidential and must not be shared publicly or embedded in client-side code.
We may impose rate limits to ensure fair usage and system stability. Excessive or abusive API usage may result in temporary or permanent suspension.
5. Third-Party Services
The Service integrates with third-party providers to deliver functionality:
- Stripe — payment processing and subscription management
- Google — OAuth authentication
- X (Twitter) — OAuth authentication
- Resend — transactional email delivery
Your use of these integrations is subject to the respective provider's terms of service and privacy policies.
6. Payment Terms
Paid plans are billed monthly or annually as specified at the time of purchase. Payments are processed through Stripe. All fees are non-refundable except as required by law.
We may change pricing with 30 days' notice. Price changes do not apply to the current billing period.
If you exceed your plan limits, we provide a 14-day grace period. After this period, your account may be restricted until you upgrade or reduce usage.
7. Data Processing
When you use the Service to authenticate your end users, we process personal data (email addresses, OAuth profile information) on your behalf. You remain the data controller for your end users' data.
We process this data solely to provide the Service and in accordance with our Privacy Policy.
8. Intellectual Property
You retain ownership of your application code and data. We retain ownership of the Service, including all software, APIs, SDKs, documentation, and related materials.
We grant you a limited, non-exclusive, revocable license to use the Service and SDK in accordance with these Terms.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.
10. Termination
You may cancel your account at any time. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.
Upon termination, your data will be retained for 30 days to allow for export. After this period, data will be permanently deleted.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved in the courts of the State of Delaware.
